This NON-DISCLOSURE AGREEMENT (the "Agreement") is entered into as of the date of electronic acceptance by and between Skylark Labs ("Company") and the undersigned individual or entity ("Recipient"). Company possesses confidential and proprietary information related to its business, technology, products, financials, and operations (collectively, "Confidential Information"). Recipient desires to receive disclosure of such Confidential Information for the purpose of evaluating a potential business transaction or investment, and Company is willing to disclose such information subject to the terms and conditions set forth herein. The parties agree as follows: 1) Recipient shall hold in confidence and not disclose to any third party any Confidential Information; 2) Recipient shall use the Confidential Information solely for the purpose of evaluating a potential business transaction or investment with Company; 3) This Agreement shall remain in effect for 3 years from the date of acceptance; 4) Recipient acknowledges that monetary damages may not be a sufficient remedy for any breach of this Agreement and that Company shall be entitled to seek injunctive relief.
